NATIONAL MANAGEMENT ASSOCIATION

CONSTITUTION

 

 ARTICLE I

Name and Objectives

Section 1 - Name

The name of this organization shall be "The Florida Space Coast Council - National Management Association" hereinafter referred to in this Constitution as the Council.

Section 2 - Objectives

The objectives of the Council shall be:

1.       To serve NMA affiliated chapters by promoting those projects and activities, which will help strengthen and improve the chapters.

2.       To facilitate exchange of ideas and information among all affiliated NMA chapters and NMA affiliated Individual Members in the interest of increasing their effectiveness. @@

3.       To assist in training and orientation of chapter leaders in the use and promotion of NMA programs, courses, and materials.

4.       To promote the objectives of the National Management Association throughout the area, and to help develop new NMA affiliated chapters.

ARTICLE II

Membership

Section 1 - Each affiliated chapter in Central Florida, may hold membership provided they

1.       Accept the Constitution and By-Laws of the Florida Space Coast Council and subscribe to its support. *******, @@

2.       Provide three (3) primary delegates to the Council to serve as official representatives *******, @@ 

3.       Encourage members to participate in activities provided by the Council. @@


 

Section 2 - These delegates shall comprise the Council governing body.

1.       Delegates to the Council shall be selected each year in a manner to be determined by the affiliated chapter and affiliated Individual Members. ******, @@

2.       Names of said delegates shall be submitted to the Council Secretary. @@

3.       All Council officers and immediate past-president shall automatically be non-chapter affiliated delegates to the Council. ***, *******  

Section 3 - National Directors of the NMA within the geographical area of the Council shall be advisory members of the Council. ******* In addition, any NMA staff members in attendance would also be there in an advisory capacity. @

Section 4 - Chapter membership and Individual Membership in the Council shall become effective upon approval by vote of the Council in formal session. @@

ARTICLE III

 Dues and Fiscal Year

Section 1 - Dues, where applicable, shall be as established by the Council and become effective upon ratification by two-thirds (2/3) of the affiliated chapters. *******

Section 2 - The fiscal year of the Council shall start on July 1, and extend through June 30. **

 

ARTICLE IV

Council Officers

  Section 1 - The minimum officers shall be President, Vice President, Secretary and Treasurer. All officers must be members in good standing of an affiliated chapter or an NMA affiliated Individual Member in good standing. **, *******, @@

Section 2 - The Council shall elect Officers.  Installation of new officers will be scheduled for the last month of the fiscal year. New officers will assume office on July 1, the start of the next fiscal year. Incumbent officers shall retain office until new officers assume office. Each officer shall be elected for a term of one (1) year.  *, *******

Section   3 - Vacancies in office shall be filled by election by the Council at the next regularly scheduled meeting. @@

ARTICLE V

Council Executive Committee

The Council Executive Board shall consist of the elected officers and the immediate Past President. *******, @@

ARTICLE VI

Council Committees

Section 1 – Standing committees shall be as established by the Bylaws, Committee Chairs may be recommended by the Council or Chapters and shall be appointed by the Council President. #

Section 2 – Committee functions shall be as outlined in the bylaws. #

Section 3 - The President may appoint special committees.

ARTICLE VII

Meetings

Delegates to the Council shall meet at least once in every three (3) month period to conduct official business, to provide opportunity for exchange of ideas and experiences in chapter operations, and to become familiar with new concepts and services of the NMA.  @@

ARTICLE VIII

Amendments 

Any Council delegate may propose an amendment to this Constitution by submitting the proposed amendment in writing to the Council President. Distribution of the proposed amendment shall be made in writing to Council delegates at least thirty (30) days prior to voting. A two-thirds (2/3) majority vote of all Council delegates shall be required for adoption. *, *****, *******, @@

ARTICLE IX

Disbandment

Section 1 - In the event this organization should desire to vote on disbandment or on discontinued affiliation with the National Management Association, the National Headquarters and each affiliated chapter shall be notified at least 90 days before such vote is taken.  

Section 2 - Prior to disbandment, the Council officers shall distribute all assets among the affiliated chapters.
